TokyoDevices.com Terms of Service
This English translation is provided for reference only. The Japanese version of these Terms is the authoritative version. If there is any discrepancy between the Japanese version and this English translation, the Japanese version shall prevail.
These Terms of Service (the "Terms") set forth the terms and conditions for use of the website and related services provided by Tokyo Devices, Inc. (the "Company") under the name "TokyoDevices.com."
Article 1 (Application)
- These Terms apply to the use of TokyoDevices.com and its related functions (collectively, the "Service").
- A "User" means any person who uses the Service, regardless of whether that person has registered as a member, and a "Member" means a User who has completed membership registration in the manner prescribed by the Company.
- Users shall comply with these Terms as well as any guides, notices, and other individual terms posted on the Service.
- The sale of products is governed by the Terms of Sale separately prescribed by the Company. Tokyo Devices products are also governed, where applicable, by the Manufacturer Warranty separately prescribed by the Company.
- If any individual terms posted on the Service expressly differ from these Terms, the individual terms shall prevail with respect to the relevant matter.
Article 2 (Membership Registration and Management of Authentication Credentials)
- A User who wishes to register as a Member shall provide true and accurate information and shall promptly update the registered information if it changes.
- Minors and other persons who cannot independently enter into a valid contract shall use the Service only after obtaining the consent of a legal representative or another person with the necessary authority.
- The Company may refuse to approve a membership registration if the registered information contains a material falsehood, if the User's registration was previously canceled for a violation of applicable terms, or if the Company has reasonable grounds to determine that approving the membership registration would be inappropriate for the operation of the Service.
- Each Member shall be responsible for appropriately managing their email address, password, and other authentication credentials and shall not allow any third party to use such credentials or lend, transfer, sell, or otherwise trade them.
- Users shall also appropriately manage any access information individually issued by the Company. If a User becomes aware of any disclosure, unauthorized use, or other incident involving authentication credentials or access information, the User must immediately contact the Company.
Article 3 (Prohibited Activities)
Users shall not engage in any of the following activities when using the Service:
- Activities that violate laws or regulations or public order and morals
- Activities that infringe the intellectual property rights, privacy, reputation, credibility, or other rights or interests of the Company or any third party
- Transmitting false information, impersonating a third party, or using a third party's information without authorization
- Unauthorized access to the Service, another User's account, or the Company's systems; transmission of harmful programs; excessive access; or any other activity that interferes with the operation of the Service
Article 4 (Intellectual Property Rights)
- All intellectual property rights in text, images, designs, logos, programs, and other content comprising the Service belong to the Company or their respective lawful owners.
- If separate license terms apply to any materials, software, firmware, sample code, or other content provided in connection with a product, use of such content is governed by those terms.
- Except as permitted by applicable laws or separate license terms, Users shall not reproduce, publicly transmit, sell, or redistribute content from the Service.
Article 5 (Suspension of Use, Cancellation of Membership Registration, and Withdrawal)
- The Company may suspend a User's use of the Service, cancel their membership registration, or take other necessary measures if the User violates these Terms or any individual terms, if the registered information contains a material falsehood, if necessary to prevent unauthorized use or a security risk, or if there are reasonable grounds that make continued provision of the Service difficult.
- A Member may withdraw from membership at any time by completing the procedure prescribed by the Company.
- Suspension of use, cancellation of membership registration, or withdrawal does not affect any sales contract concluded before such action or any other existing rights or obligations.
- Registered information and transaction information after withdrawal will be handled in accordance with applicable laws and the Company's Privacy Policy.
Article 6 (Changes to, Suspension of, and Termination of the Service)
- The Company may temporarily suspend all or part of the Service when necessary for stable provision of the Service due to system maintenance, failure of telecommunications lines or external services, natural disasters, power outages, security risks, or other circumstances.
- The Company may change or terminate all or part of the Service for reasonable business reasons. If such a change or termination will have a material impact on Users, the Company will provide advance notice, except in unavoidable emergencies.
Article 7 (Handling of User Information)
The Company will handle Users' personal information in accordance with applicable laws and the Privacy Policy separately prescribed by the Company.
Article 8 (Liability and Force Majeure)
- The Company does not warrant that the Service will be available at all times or will operate on all devices and in all usage environments.
- The Company's liability in connection with product sales and warranties is governed by the Terms of Sale, the Manufacturer Warranty, and any applicable individual terms.
- If a User suffers damage due to a cause attributable to the Company, the Company will be liable in accordance with applicable laws and applicable individual terms. If the damage results from the Company's ordinary negligence, the Company's liability shall be limited to direct and actual damages that would ordinarily arise from the relevant cause. This limitation does not apply if the damage results from the Company's willful misconduct or gross negligence, if the damage is to a person's life or body, or if limitation of liability is not permitted by law.
- The Company shall not be liable for any failure or delay caused by natural disasters, telecommunications failures, unauthorized access by a third party, failure of external services, or any other circumstance beyond the Company's reasonable control, unless such failure or delay is attributable to the Company.
Article 9 (Anti-Social Forces)
If a User constitutes an anti-social force, has a socially reprehensible relationship with an anti-social force, or makes violent demands, uses threatening behavior or language, or engages in any similar conduct, the Company may suspend the User's use of the Service, cancel their membership registration, or take other necessary measures.
Article 10 (Amendment of the Terms, Governing Law, and Jurisdiction)
- The Company may amend these Terms in accordance with applicable laws if the amendment conforms to the general interests of Users or does not conflict with the purpose of these Terms and is reasonable in light of the necessity and substance of the amendment.
- If the Company amends these Terms, it will notify Users of the amended terms and their effective date by posting them on the Service or by another appropriate method no later than the effective date. For any amendment that requires Users' consent under applicable laws, the Company will obtain consent in the manner prescribed by the Company.
- These Terms and the Service are governed by the laws of Japan.
- Unless otherwise provided by law, the district court or summary court having jurisdiction over the location of the Company's head office shall have exclusive jurisdiction as the court of first instance over any dispute arising in connection with these Terms or the Service.
